Background On January 31, 2020, as a result of confirmed cases of buy antibiotics, and after consultation with public health officials as necessary, Alex M. Azar II, Secretary of Health and Human Services, pursuant to the authority under section 319 of the Public Health Service Act (42 U.S.C. 247d) (PHS Act), determined that a PHE exists and has existed since January 27, 2020, nationwide.[] On March 13, 2020, President Donald J. Trump declared that the buy antibiotics outbreak in the United States constitutes a national emergency, beginning March 1, 2020.[] In the Federal Register of March 25, 2020 (the March 25, 2020, notice) (available at https://www.govinfo.gov/âcontent/âpkg/âFR-2020-03-25/âpdf/â2020-06222.pdf), FDA announced procedures for making available FDA guidances related to the buy antibiotics PHE. GH) (âGuardant Healthâ), a leading precision oncology company focused on helping conquer cancer globally through use of its proprietary blood tests, vast data sets and advanced analytics, announced today the closings of an underwritten public offering of 7,700,000 shares of its common stock, which includes full exercise of the underwriterâs option to purchase 700,000 shares, at a public offering price of $102.00 per share, before deducting underwriting discounts and commissions, all of which were sold by SoftBank Investment Advisers. The initial closing of 7,000,000 shares occurred on October 9, 2020, and the closing of the underwriterâs option to purchase additional shares occurred today. Guardant Health did not sell any of its shares in the offering and did not receive any of the proceeds from the sale of shares in the offering by SoftBank Investment Advisers.
J.P. Morgan Securities LLC acted as sole book-running manager of the offering.
